1. Legal Structure
In Dubai, you can operate a business as a sole proprietorship or company for direct sales, or indirectly through agents.

a. Sole Proprietorship

This is a simple business method in which the sole proprietor runs a business on his/her own under a trade license issued in his/her name. In this type of business, individuals are liable for the business’s debts to the extent of their assets. Sole proprietors cannot have independent legal entities. Only UAE and GCC nationals are allowed to operate as sole proprietors in Dubai, but recently, after obtaining a business license for sole proprietors, UAE nationals lease to foreigners to fully manage the business and profit from the business. Cases of doing so are increasing. However, this type of arrangement is inherently illegal and is not recommended as it can cause many problems if the business relationship between the parties goes wrong. Moreover, the legal holder of the business license will be 100% fully responsible for the debts concerning third parties not aware of these separate agreements.
It is possible for foreigners residing in the UAE to become sole proprietors. However, the law restricts foreigners from operating as sole proprietors in specific fields, and the applicable fields are as follows.

Foreign sole proprietors must appoint a local service agent. The local service agent contract must be notarized, and the foreigner’s residence must be placed under the name of the new business sponsorship.
